Terms of Service for MemoryBridge AI

1. Agreement to Terms

These Terms of Service ("Terms") govern your use of MemoryBridge AI, a unified personal AI memory platform ("Service") operated by Apex Leadership Lab, LLC ("Company", "we", "us", or "our"), a Delaware limited liability company.

By accessing or using our Service, including our web application, Model Context Protocol (MCP) servers, REST APIs, browser extensions, and AI integrations, you agree to be bound by these Terms.

2. Eligibility

You must be at least 18 years old to use our Service. By using MemoryBridge AI, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

3. Account Registration and Security

• • You must provide accurate and complete information during registration.
• • You are responsible for maintaining the confidentiality of your account credentials.
• • Sign-in uses email and password through Supabase Auth. Account creation currently requires an invite code and email confirmation.
• • You must notify us immediately of any unauthorized use of your account.
• • API keys are SHA-256 hashed and should be treated as sensitive credentials.
• • Use a strong, unique password. At signup, passwords are checked against known data-breach lists.

4. User Content and Licensing

• • Your Ownership: You retain all rights to the content you store ("Memories" or "Traces").
• • License to Us: You grant us a limited, non‑exclusive license to process, index (including vector embeddings via Voyage AI), transmit, and display your content solely to provide the Service.
• • Content Responsibility: You are responsible for your content and must have necessary rights to store it.
• • Prohibited Content: Do not upload illegal, infringing, harmful, or malicious content.
• • AI Processing: Your content is processed server-side by Anthropic (chat, extraction, enrichment) and Voyage AI (embeddings), and shared with the AI assistants you explicitly connect via MCP or the REST API. It is never used to train their models.

5. Service Description

MemoryBridge AI provides:

• • Cross-platform persistent memory storage for AI assistants
• • Model Context Protocol (MCP) integration with Claude, ChatGPT, Cursor, and other MCP-capable AI assistants.
• • Hybrid semantic and full-text search capabilities
• • "Ask your memory" chat, grounded in your saved memories
• • Bulk import from ChatGPT and Claude exports, PDFs, text, and markdown, with extracted memories staged in a review inbox
• • A Chrome browser extension for saving and searching memories from any page
• • REST API for universal AI platform compatibility
• • Memory categorization (personal, work, preference, fact, context)
• • Importance levels and tagging systems
• • OAuth 2.0 and API key authentication, with optional per-credential category restrictions

6. Acceptable Use Policy

You agree not to:

• • Violate any laws or regulations
• • Infringe on intellectual property rights
• • Upload malware, viruses, or harmful code
• • Attempt to gain unauthorized access to our systems
• • Circumvent rate limiting or abuse our APIs
• • Use the Service for cryptocurrency mining
• • Resell or redistribute the Service without permission
• • Engage in activities that harm our infrastructure or other users

7. Pricing and Billing

• • Free Tier: 100 stored memories with a 30-day retention window and 20 AI queries per month, at no cost.
• • Pro Plan: US$12 per month or US$108 per year (effective ~US$9/month, billed annually). Includes up to 25,000 stored memories, unlimited retention, 400 AI queries per month (large imports count as multiple queries in proportion to their size), and the premium AI model. Applicable US sales tax is added at checkout via Stripe Tax.
• • Automatic renewal (required disclosure): Paid subscriptions automatically renew at the same interval and price you originally agreed to, until you cancel. You authorize us (through Stripe) to charge your payment method at the start of each renewal period. We'll send a renewal reminder by email for annual subscriptions at least 7 days before each renewal, in accordance with California's Automatic Renewal Law (Bus. & Prof. Code §17602) and New York General Business Law §527-a.
• • How to cancel: You may cancel at any time from Settings → Billing → Manage subscription, which opens the Stripe Customer Portal. You can also cancel by emailing billing@memorybridge.ai. Cancellation takes effect at the end of the current paid period; you retain access until then.
• • Refunds: Monthly subscriptions are non- refundable. Annual subscriptions are refundable within 14 days of the initial purchase or renewal, prorated to the unused portion. Refunds are not available after 14 days.
• • Failed payments: If we cannot charge your payment method, your subscription enters a past-due state. We will retry automatically over approximately 21 days. If we still cannot collect, your subscription will be canceled and your account downgraded to the Free tier.
• • Price Changes: We'll notify you by email at least 30 days before any price increase to a recurring subscription. You may cancel before the change takes effect to avoid the new price.

8. Third-Party Services

Our Service integrates with:

• • Supabase: Authentication, database, and storage
• • Voyage AI: Vector embeddings for semantic search
• • Netlify: Hosting and serverless functions
• • Anthropic: AI chat, memory extraction, and enrichment
• • Stripe: Payments, subscription billing, and sales tax
• • Resend: Transactional email
• • AI assistants you connect: for example ChatGPT (OpenAI), Claude (Anthropic), or Cursor, via MCP or the REST API

Your use of these services may be subject to their respective terms.

9. Intellectual Property

• • The MemoryBridge AI platform, excluding user content, is owned by Apex Leadership Lab, LLC.
• • Our MCP implementation follows Anthropic's Model Context Protocol specification.
• • Open source components are used under their respective licenses.
• • "MemoryBridge AI" and our logo are trademarks of Apex Leadership Lab, LLC.

10. Privacy and Data Protection

• • Your use of our Service is governed by our Privacy Policy.
• • We encrypt data in transit (TLS) and at rest.
• • PostgreSQL row-level security ensures data isolation between users.
• • You can export or delete all of your data at any time.
• • Your data is never sold or used for AI model training.

11. Disclaimers and Limitations

• • The Service is provided "as is" without warranties of any kind.
• • AI-generated responses may be inaccurate; verify important information.
• • We are not liable for indirect, incidental, or consequential damages.
• • Our maximum liability is limited to the amount you paid us in the past 12 months.
• • Some jurisdictions don't allow certain limitations, so these may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless Apex Leadership Lab, LLC, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

13. Dispute Resolution

• • Governing Law: These Terms are governed by Delaware law, excluding conflict of law provisions.
• • Arbitration: Disputes will be resolved through binding arbitration under JAMS rules.
• • Class Action Waiver: You waive any right to bring claims as a class action.
• • Small Claims: Either party may bring claims in small claims court.
• • Injunctive Relief: We may seek injunctive relief for violations in any court.

14. Termination

• • You may terminate your account at any time through the dashboard.
• • We may suspend or terminate accounts for Terms violations.
• • Upon termination, your right to use the Service ceases immediately.
• • You may export your data before account closure.
• • Provisions that should survive termination will remain in effect.

15. Changes to Terms

We may update these Terms from time to time. Material changes will be notified via email and in-app notifications. Continued use after changes indicates acceptance of the updated Terms.

• • Entire Agreement: These Terms constitute the entire agreement between you and us.
• • Severability: If any provision is invalid, the rest remains in effect.
• • No Waiver: Our failure to enforce any right is not a waiver.
• • Assignment: You may not assign these Terms; we may assign them freely.
• • Force Majeure: Neither party is liable for delays due to circumstances beyond reasonable control.
